End User License Agreement

Last updated: October 26, 2026

This End User License Agreement (“EULA”) is a legal agreement between you and Bridge Harbor Inc., a Delaware corporation operating from 24 Magnolia Avenue, Tottenham, Ontario L0G 1W0, Canada (“Bridge Harbor”, “we”, “us”). It sets out the licence under which you may use the Bridge Harbor software and the conditions that apply to that use.

“Software” means the Bridge Harbor platform at app.bridgeharbor.io and every part of it: the web application, Nora (our assistant, including when reached through WhatsApp or another connected assistant), our integrations with services such as QuickBooks Online, Microsoft 365 and Google Workspace, our APIs, and any updates, documentation and related materials we provide.

By creating an account, clicking to accept, connecting the Software to another service, or using the Software, you agree to this EULA. If you accept it for a company or other organisation (the “Customer”), you confirm you have authority to bind it, and “you” means that organisation and the people it allows to use the Software. If you do not agree, do not use the Software.

This EULA works together with our terms and conditions (the “Terms”) and our privacy policy. If this EULA and the Terms differ on the licence to use the Software, this EULA applies. A signed order form or agreement with us overrides both where it says so.

1. Licence grant

Subject to this EULA and to paying any fees that apply, Bridge Harbor grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence, during the subscription term, to access and use the Software:

  • only through the interfaces we provide, as hosted by us (you receive no copy of the server software);
  • only for the Customer’s internal business operations, such as running its orders, documents, shipments, invoices and related accounting; and
  • only by its Authorised Users, up to the number of seats or other limits in its plan.

“Authorised Users” are the Customer’s employees and contractors whom it invites to its workspace. Each needs their own login, and the Customer is responsible for their use of the Software and their compliance with this EULA.

2. Free trials and early features

If we give you a free trial, or access to features marked beta, preview or early access, the licence above applies for the period we state, without fees. Those features are provided as they are, may change or stop at any time, and are not covered by any commitment about availability or support.

3. Restrictions

Except as this EULA expressly allows, or as the law allows despite this restriction, you will not, and will not let anyone else:

  • copy, modify, translate or create derivative works of the Software;
  • decompile, disassemble or reverse-engineer the Software, or try to discover its source code, models or underlying structure;
  • sell, resell, rent, lease, lend, sublicense, distribute or otherwise make the Software available to anyone other than Authorised Users, or use it to provide a service bureau, time-sharing or outsourcing service to others;
  • share logins, or let more people use the Software than the Customer’s plan allows;
  • remove or alter any copyright, trademark or other notice in the Software;
  • get around, disable or interfere with any security, usage limit or access control, or try to access another customer’s data or any part of the Software you are not authorised to use;
  • test the Software’s security, run load tests, or scrape or harvest it by automated means, without our written permission;
  • introduce viruses, malware or other harmful code, or use the Software in a way that harms it, us or other customers;
  • use the Software, or any output from it, to build a competing product, or benchmark it for publication without our written consent;
  • use the Software to break any law, including sanctions, export-control, customs, trade, anti-money-laundering and privacy laws, or to infringe anyone’s rights; or
  • use the Software in any way that breaks the terms of a service you connect to it.

4. Your data

The Customer owns its data: the orders, counterparties, documents, prices and other information it or its Authorised Users put into the Software, and the data the Software receives from services it connects (“Customer Data”). The Customer grants Bridge Harbor a limited licence to host, copy, process and display Customer Data only to provide, secure and support the Software for the Customer and as our privacy policy describes. We do not sell Customer Data, we never share it with other customers, and we do not use it to train AI models.

The Customer is responsible for the accuracy and legality of Customer Data and for having the rights and consents needed to put it into the Software. The Customer can export its data at any time while its subscription is active.

5. Connected services, including QuickBooks

The Software can connect to third-party services, such as QuickBooks Online (by Intuit Inc.), Microsoft 365, Google Workspace and WhatsApp. When you connect one:

  • you confirm you are authorised to connect that account for the Customer, and you authorise the Software to access it and act in it as the connection allows, on your instructions;
  • for QuickBooks, the Software creates customers, vendors, items, invoices, bills and received payments in the connected QuickBooks company only when someone in your workspace chooses to send them. It does not edit, void or delete records already in QuickBooks. You remain responsible for your books, your filings and checking what the Software creates there;
  • that service’s own terms and privacy policy also apply to your use of it. The provider of that service is not a party to this EULA and is not responsible for the Software, its support, or any claim about it; and
  • you can disconnect at any time, from the Software or from the other service. Disconnecting stops anything further being sent and does not delete what is already in either system.

6. Nora and AI features

Nora and other AI features in the Software read your documents and records, extract figures, draft messages and suggest actions. They do not send, book, file, approve or change anything on their own; a person in your workspace reviews and approves each action first. AI output can be wrong or incomplete. You are responsible for checking it before you rely on it, and for the decisions and trades you make.

7. Ownership

The Software is licensed, not sold. Bridge Harbor and its licensors own all rights, title and interest in the Software, including all copies, updates, improvements and derivative works, and all related intellectual property, and keep all rights not expressly granted in this EULA. The Bridge Harbor name, logo and Nora are our trademarks; this EULA gives you no right to use them. If you send us feedback or suggestions, we may use them freely without obligation to you.

8. Third-party and open-source components

The Software includes components licensed by third parties, including open-source software. Those components are licensed to you under their own licence terms where those terms require it. Nothing in this EULA limits your rights under, or gives you rights that override, an applicable open-source licence.

9. Updates and support

Because the Software is hosted, we may update, improve or change it at any time, and updates apply automatically. If we remove a feature you rely on, we will tell you in advance where we reasonably can. We provide support by email at support@bridgeharbor.io.

10. Fees

Fees, billing periods and renewal are set out in your plan or order form and in the Terms. If fees are not paid when due, we may suspend the licence until they are, after telling you.

11. Term and termination

This EULA starts when you first accept or use the Software and lasts for as long as the Customer has an active subscription or trial. The Customer can end it at any time by closing its account. We may suspend or end the licence if you materially breach this EULA and do not fix the breach within 30 days of our notice, immediately if the breach cannot be fixed or puts the Software or other customers at risk, or where the law requires.

When this EULA ends, the licence ends and you must stop using the Software. The Customer has 30 days to export its data, after which we delete it as our privacy policy describes. Sections 3, 4, 7 and 12 to 16 survive termination.

12. Warranty disclaimer

To the fullest extent the law allows, the Software is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and that the Software will be uninterrupted, error-free or secure. Bridge Harbor does not warrant the accuracy of AI output, or the availability or behaviour of any connected service. Nothing in the Software is legal, tax, accounting, trade-finance or compliance advice.

13. Limitation of liability

To the fullest extent the law allows, Bridge Harbor will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, arising out of or related to this EULA or the Software, even if told they were possible. Bridge Harbor’s total liability arising out of or related to this EULA or the Software is limited to the greater of the fees the Customer paid us in the 12 months before the claim and US$100. These limits do not apply to liability that cannot be limited by law.

14. Indemnity

The Customer will defend and indemnify Bridge Harbor against third-party claims, and the resulting reasonable costs and losses, that arise from Customer Data or from use of the Software in breach of this EULA or the law.

15. Export and government use

You will comply with all export-control and sanctions laws that apply to the Software and will not use it in, or make it available to anyone in, a country or to a person subject to comprehensive sanctions. The Software is “commercial computer software”; if a government body uses it, it does so only with the rights set out in this EULA.

16. General

This EULA is governed by the laws of the State of Delaware, without regard to its conflict-of-law rules, and disputes will be heard by the state or federal courts located in Delaware. If any part of this EULA is unenforceable, the rest still applies. Not enforcing a right straight away is not a waiver of it. You may not assign this EULA without our consent; we may assign it as part of a merger, acquisition or sale of the business. This EULA, the Terms, our privacy policy and any order form are the whole agreement about the Software. We may change this EULA by posting a new version here; for material changes, we will email account owners at least 30 days before they take effect. This EULA is written in English. Les parties ont exigé que cette convention et tous les documents connexes soient rédigés en anglais.
